Associate General Counsel – Transactional Responsibilities

We have an excellent opportunity for an Associate General Counsel to join our growing Legal Department in Louisville, Kentucky. Under the supervision of our Chief Legal Officer, the Associate General Counsel will assist in providing in-house legal services to ResCare, Inc. While these legal services generally include the provision of legal advice on a broad variety of business matters, we are seeking a candidate with at least one year of experience in focusing on corporate transactions, including mergers and acquisitions and divestitures. Candidates with health care experience are preferred.


The Associate General Counsel will:

  • Support ResCare’s Business Development Team in connection with corporate transactions, including acquisitions, mergers, joint ventures and divestitures, by providing guidance on deal structure and process, including identifying risks and proposing alternative solutions as needed.
  • Perform due diligence, support post-closing integration activities, draft and negotiate transactional documents, prepare and submit materials to governmental bodies as necessary, perform legal research on various state licensing requirements, Medicaid/Medicare enrollment and Certificate of Need issues.
  • Provide legal support to Res-Care, Inc. and its subsidiaries including directly advising our Chief Executive Officer, Chief Legal Officer, Chief Operating Officer, Chief Financial Officer, Chief Compliance Officer and other executive leadership members on legal issues in their respective lines of business.
  • Oversee daily operations of our ResCare Legal department for the Company and its
    subsidiaries, including operations in forty-two states, Canada, and Puerto Rico.
  • Draft, review and negotiate contracts of substantial complexity for ResCare and its subsidiaries, with numerous public and private entities, including health care providers, vendors and government agencies.
  • Achieve operational and cost efficiencies through workload management between in-house and outside counsel.
  • Help to build and maintain a “best in class” legal team.
  • Respect and appreciate ResCare’s mission. The mission defines the culture of ResCare and the Associate General Counsel should promote and communicate the mission while providing services.

Specific Requirements

  • Juris Doctor from an accredited law school.
  • Member of good standing with the Kentucky Bar Association or licensure in another state with eligibility for licensure in Kentucky.
  • At least one year of relevant transactional experience.
  • Ability to analyze legal problems and provide efficient and effective legal services and advice.
  • Ability to identify, strategize and respond to a broad range of issues related to business, operations and risk management.
  • Strong oral and written communication skills.
  • Good interpersonal skills and the ability to successfully communicate with people from all levels within the organization as well as with external parties, including government contacts.
  • A desire to work collaboratively in a small, dedicated Legal Department.
  • Ability to work independently.
  • Proven commitment to community service.
